Terms of Service
These Terms of Service govern access to and use of Immersive Vision LLC websites, client and partner workspaces, immersive property experiences, Google Calendar scheduling features, proposals, project tools, and related professional and technology services.
1. Acceptance of Terms
By accessing or using an Immersive Vision service, you agree to these Terms and our Privacy Policy. If you use the services on behalf of a company, brokerage, builder, developer, or other organization, you represent that you have authority to bind that organization to these Terms.
2. Services
Immersive Vision provides digital sales experiences, architectural visualization, interactive property presentations, client workspaces, scheduling tools, analytics, project communication, and related technology and professional services. Specific project scope, pricing, delivery terms, intellectual-property rights, and payment obligations may also be governed by a proposal, statement of work, invoice, or separate agreement. If a separate signed agreement conflicts with these Terms, the signed agreement controls for that engagement.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your credentials and for activity performed through your account. You must provide accurate information, use the services only for authorized purposes, and promptly notify Immersive Vision if you suspect unauthorized access or compromise.
4. Google Calendar and Third-Party Integrations
Google Calendar integration is optional. If you connect Google Calendar, you authorize Immersive Vision to use only the permissions presented in Google's OAuth consent flow for the scheduling functions described in our Privacy Policy. You may disconnect the integration from your Workspace or revoke access through your Google Account.
Third-party services are controlled by their respective providers. Immersive Vision does not guarantee uninterrupted availability of Google or any other third-party service and is not responsible for third-party outages, policy changes, or acts outside our reasonable control.
5. Acceptable Use
You may not use the services to violate law, infringe intellectual-property or privacy rights, gain unauthorized access, interfere with service operation, distribute malicious code, misrepresent property or transaction information, or attempt to reverse engineer protected platform components except where applicable law expressly permits such activity.
6. Client Content and Project Information
You are responsible for the accuracy, legality, and rights associated with materials you provide, including plans, renderings, photographs, logos, specifications, schedules, pricing, availability, contact data, and project information. You grant Immersive Vision the limited rights necessary to host, process, transform, reproduce, and display those materials solely to provide the requested services.
7. Intellectual Property
Immersive Vision retains all right, title, and interest in its software, platform architecture, interface systems, workflows, code, trademarks, know-how, templates, and other pre-existing intellectual property. Ownership or licensing of client-specific deliverables is governed by the applicable proposal or client agreement.
8. Fees and Payment
Fees, deposits, payment schedules, taxes, late charges, and refund terms are governed by the applicable proposal, invoice, subscription terms, or written agreement. Unless otherwise stated in writing, amounts due are payable according to the payment terms shown on the applicable invoice or agreement.
9. Confidentiality
Each party may receive non-public information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for the purpose of performing or receiving the applicable services, except where disclosure is authorized or legally required.
10. Property, Visualization, and AI Disclaimers
Architectural renderings, immersive tours, floor plans, dimensions, finishes, pricing, timelines, availability, and AI-assisted responses may be illustrative, estimated, or based on client-provided information. They do not replace executed contracts, approved construction documents, legal disclosures, licensed professional advice, or verified sales records. Users should verify material facts before relying on them in a transaction or construction decision.
11. Availability and Modifications
We may modify, update, suspend, or discontinue features as reasonably necessary to improve, secure, maintain, or comply with legal requirements affecting the service. We will use reasonable efforts to avoid unnecessary disruption to active client services.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the services are provided on an "as available" basis. Immersive Vision disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, except to the extent such disclaimers are prohibited by law or modified by a separate written agreement.
13. Limitation of Liability
To the maximum extent permitted by law, Immersive Vision will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including lost profits, lost opportunities, loss of goodwill, or loss of data, arising from or related to use of the services. Any additional contractual liability allocation contained in a signed client agreement will control for that engagement.
14. Indemnification
To the extent permitted by law, you agree to defend and indemnify Immersive Vision against third-party claims arising from materials you provide, your unlawful use of the services, your violation of these Terms, or your infringement of another party's rights, except to the extent the claim results from Immersive Vision's own unlawful conduct.
15. Suspension and Termination
Immersive Vision may suspend or terminate access when reasonably necessary to protect the service, other users, legal compliance, or payment obligations. You may stop using the services at any time, subject to outstanding contractual and payment obligations. Provisions that by their nature should survive termination will remain effective.
16. Governing Law
Unless a separate signed agreement states otherwise, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be handled in the forum required by applicable law or the controlling client agreement.
17. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page identifies the current version. Continued use after an update constitutes acceptance of the revised Terms to the extent permitted by law.
